Terms of Service
Effective Date: February 21, 2026
1. Nature of Service
GNX (operated by Global NextGen Automation Inc.) provides an AI-powered lead execution layer. Our service sits on top of existing Dealership Customer Relationship Management (CRM) and Dealer Management Systems (DMS). We are not a CRM provider, nor are we a dealership.
2. Dealership Responsibilities
By using our services, the Dealership agrees to:
- Maintain valid OMVIC registration and comply with all Ontario automotive regulations.
- Ensure that all leads provided to GNX have granted necessary consent for communication under CASL (Canada's Anti-Spam Legislation).
- Provide accurate vehicle and pricing data for the AI to reference.
- Follow up on "Hot Leads" identified by the GNX system in a timely manner.
3. AI-Generated Content Disclaimer
Our system uses advanced Artificial Intelligence to interact with leads. While we strive for 100% accuracy, the Dealership acknowledges that AI may occasionally generate responses that require human intervention. GNX is not liable for errors in AI-generated responses regarding specific vehicle conditions, historical data, or financial quotes. All final sales contracts must be reviewed and executed by Dealership personnel.
4. Limitation of Liability
GNX is provided \"as is.\" To the maximum extent permitted by Ontario law, GNX shall not be liable for any indirect, incidental, or consequential damages resulting from lost leads, CRM downtime, or missed sales opportunities. Our liability is limited to the fees paid by the Dealership for the service in the preceding 12-month period.
5. Termination
Either party may terminate the service agreement with 30 days' written notice. Upon termination, GNX will provide a export of lead qualification data processed during the active term.
6. Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts of Ottawa, Ontario.
